Founding Member Agreement

This Founding Member Agreement (“Agreement”) governs your participation in the Vortex OS Founding Member Beta (the “Program”) offered by Back Office Solutions LLC (“BOS”). It is in addition to and incorporates the Vortex OS Terms of Service and Privacy Policy. In the event of a conflict regarding Program-specific matters, this Agreement controls.

1. Program Capacity

The Program is limited to the first 25 companies accepted by BOS. Acceptance is at BOS’s sole discretion based on the published Beta application criteria. Application does not guarantee acceptance.

2. Founding Member Pricing — Locked For Life

Accepted Founding Members receive permanently reduced pricing on the subscription tier purchased (the “Founding Price”). The Founding Price will not increase for the duration of an unbroken, continuous, paid subscription, regardless of future standard price changes.

  • BRS Boardroom: Founding $1,997/mo (std $2,497/mo)
  • Lead Forge Foundation: Founding $497 one-time (std $697)
  • Lead Forge Momentum: Founding $1,997/mo (std $2,497/mo)

3. Forfeiture of Pricing Protection

The Founding Price is tied to continuous, active enrollment. If a Founding Member:

  • cancels the subscription;
  • downgrades to a free or non-paid plan;
  • is terminated for non-payment after Stripe’s standard retry window; or
  • is terminated by BOS for material breach,

the Founding Price is permanently forfeited. Subsequent reactivation, re-subscription, or new purchases will be at the then-current standard pricing. There is no reinstatement of the Founding Price under any circumstance.

4. Participation Obligations

Founding Members agree to: (a) actively use the Service during the Program; (b) provide candid product feedback through in-app surveys, scheduled feedback calls, or written submissions; and (c) participate in reasonable case-study or testimonial interviews at BOS’s request, subject to your written approval before any public use.

5. Beta Software Acknowledgment

The Service is offered to Founding Members during an active Beta period. Some features are live, some are in active development, and some are on the published roadmap. BOS will deliver features as described in the Beta program materials but does not guarantee specific roadmap dates. Beta features may change, be added, or be removed.

6. Founding Member Certificate

Upon acceptance, BOS issues a numbered Founding Member Certificate (e.g., VOS-FM-0001) and verification URL. The number, certificate, and verification URL remain associated with the accepted company for as long as Section 3 (Forfeiture) is not triggered.

7. Confidentiality

Pre-release features, roadmap details, internal metrics, and other non-public information shared during the Program are confidential. You may share that you are a Vortex OS Founding Member; you may not publicly disclose unreleased features, screenshots of unreleased modules, or internal performance data without BOS’s prior written consent.

8. Billing & Cancellation

Billing is managed by Stripe. Founding Members may cancel any time via the in-app billing portal. Cancellation triggers Section 3 (Forfeiture). No refunds are provided for partial billing periods.

9. Term & Survival

This Agreement begins on the date BOS accepts your application and continues for the duration of your subscription. Sections 3 (Forfeiture), 7 (Confidentiality), and the Limitation of Liability provisions of the Terms of Service survive termination.

10. Entire Agreement

This Agreement, together with the Terms of Service and Privacy Policy, is the complete agreement between you and BOS regarding the Program and supersedes prior discussions or marketing statements.
